Terms of Service

These Terms of Service ("Terms") govern your use of OhoSync (the "Service"), operated by Monine AS, a company registered in Norway (org. no. [ORG NUMBER], [REGISTERED ADDRESS]) ("Monine", "we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
OhoSync synchronises product data from your supplier feeds (XML, CSV, Excel or Google Sheets) to your connected online store, currently WooCommerce and Shopify. It reads a feed you configure, applies your mapping and pricing rules, and creates or updates products in your store. The Service is provided on a best-effort basis; you are responsible for the accuracy of your supplier feeds and for reviewing changes before they reach your customers.
2. Accounts
You must provide accurate registration details and keep your credentials secure. You are responsible for all activity under your account. You must be authorised to connect any store and to use any supplier feed you configure. One person or organisation is the owner of each account ("tenant").
3. Your data and content
You retain all rights to your data — your product catalogue, supplier feeds, store credentials and account information ("Your Data"). We do not claim ownership of Your Data. We process it only to provide the Service, as described in our Privacy Policy. You grant us the limited licence necessary to store, transmit and process Your Data for that purpose. You can export or delete Your Data at any time (see section 8).
4. Acceptable use
Do not use the Service to infringe third-party rights, to violate applicable law, to transmit malicious code, or to point the Service at systems you are not authorised to access. We may suspend accounts that put the Service or other customers at risk.
5. Plans, credits and billing
Paid plans and usage-based AI credits are billed by manual invoice. Unless stated otherwise on your invoice or order, fees are payable within [PAYMENT TERM, e.g. 14 days] of the invoice date, exclusive of VAT and any applicable taxes. Credits purchased for optional AI features are consumed as you use those features and are non-refundable once consumed. Plan limits (such as feed size and item counts) apply as shown in the app. We may change prices with reasonable prior notice.
6. Availability and warranties
We aim for high availability but do not guarantee uninterrupted or error-free operation. The Service depends on third parties you connect (your store, supplier feeds, AI providers) which are outside our control. To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
7. Limitation of liability
To the maximum extent permitted by law, Monine is not liable for any indirect, incidental, special or consequential damages, or for lost profits, revenue, data or goodwill, arising out of or relating to the Service. Our total aggregate liability for all claims relating to the Service is limited to the fees you paid to us for the Service in the [three (3) months] preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under mandatory applicable law.
8. Data export and deletion
You can export a copy of your account data and permanently delete your account at any time from Account → Export your data and Account → Delete account in the app, in line with your rights under the GDPR. Deletion removes Your Data except where we are required to retain certain records by law. See the Privacy Policy for details.
9. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your account if you materially breach these Terms, fail to pay fees when due, or use the Service in a way that harms the Service or others; where practicable we will give you notice and a chance to cure. On termination your right to use the Service ends; you remain responsible for fees accrued before termination, and you may export Your Data before deleting your account.
10. Changes to these Terms
We may update these Terms from time to time. If we make material changes we will notify you by email or in the app. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws of Norway, without regard to conflict-of-laws rules, and the courts of Norway have exclusive jurisdiction, subject to any mandatory consumer-protection rights you may have in your country of residence.
